Welcome to ComposeIt. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and ComposeIt Technologies (Private) Limited ("ComposeIt", "we", "our", or "us"), a company incorporated under the laws of Zimbabwe (Company Registration No. 137770A0292026), headquartered at 12417 Unit C, Acacia Village, Westgate, Harare, Zimbabwe, governing your access to and use of the ComposeIt website, visual canvas builder, REST APIs, integrations, and related document automation services (collectively, the "Services").

1. Acceptance of Terms

By creating an account, accessing our website, or integrating our APIs into your applications, you accept and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have full legal authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Changes to Terms

We reserve the right to modify or replace these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide notice via your account dashboard or registered email address. Your continued use of the Services after any modifications become effective indicates your acceptance of the revised Terms.

3. Eligibility and Account Registration

3.1 Eligibility

The Services are designed strictly for commercial, business, and professional use. To use ComposeIt, you must be at least 18 years old and fully capable of entering into a binding contract under applicable law.

3.2 Account Security

• You must provide accurate, current, and complete registration information during account creation.
• You are solely responsible for maintaining the confidentiality of your account credentials, passwords, and API keys, as well as for all activities conducted under your account.
• You agree to notify ComposeIt immediately at support@composeit.app upon becoming aware of any unauthorized access or security breach affecting your account.

4. Acceptable Use and Platform Integrity

You agree to use ComposeIt strictly in compliance with applicable local, national, and international laws. You agree not to engage in or permit any of the following prohibited activities:

• Generating, transmitting, or distributing fraudulent documents, unlawful phishing communications, malware, spam, or deceptive financial instruments.
• Reverse engineering, decompiling, disassembling, or extracting the source code of the ComposeIt editor canvas, rendering engines, or platform components.
• Interfering with, disrupting, or imposing an unreasonable or disproportionately large load on our servers, infrastructure, or network integrity.
• Attempting to bypass authentication mechanisms, rate limiters, security boundaries, or accessing other user accounts without explicit authorization.
• Reselling, sublicensing, renting, or leasing direct access to the platform without prior written agreement.

5. Document Automation & Architecture

5.1 Rendering Pipelines & Zero-Retention Architecture

ComposeIt provides dynamic document and email generation services, enabling you to design templates and compile PDFs, images (PNG/JPG), HTML, and MJML emails via visual tools or REST APIs. In accordance with our security and privacy principles:

• Volatile In-Memory Processing: Dynamic JSON data payloads, customer records, and variables submitted to our generation endpoints are processed strictly in volatile memory and are not persisted to database logs or permanent storage.
• Automatic 24-Hour File Purge: Generated binary documents (PDFs) and exported image assets stored temporarily to facilitate download or webhook delivery are permanently and automatically purged within 24 hours.
• Zero-Storage Email Rendering: HTML and MJML email generations are rendered on-the-fly and streamed directly to your application without being written to disk.

5.2 Dynamic Barcodes and QR Codes

You may embed dynamically generated QR codes and barcodes into your documents. You agree not to encode malicious URLs, phishing destinations, or deceptive payloads within generated barcodes or QR codes.

6. API Usage, Authentication, and Rate Limits

Access to our programmatic generation pipeline requires an active API token. You must treat your API tokens as strictly confidential credentials and never expose them in client-side applications or public repositories.

To ensure platform stability and availability for all users, ComposeIt enforces fair use policies and API rate limits based on your subscription tier. If your request volume significantly exceeds your plan limits or poses an immediate threat to platform stability, ComposeIt reserves the right to throttle or temporarily suspend API access pending resolution.

7. Subscriptions, Fees, and Payments

7.1 Subscription Tiers and Metered Usage

ComposeIt offers free tiers and paid recurring subscriptions (monthly or yearly) providing varying template counts, monthly merge allocations, and compute throughput. Plan details and pricing are specified on our Pricing Page.

7.2 Merchant of Record and Payment Processing

Payment processing and subscription billing are handled through our authorized Merchant of Record, Dodo Payments. By subscribing to a paid plan, you authorize recurring billing of applicable subscription fees and any applicable taxes to your designated payment method at the beginning of each billing cycle.

7.3 Cancellation and Refund Policy

You may cancel your subscription at any time directly through your account billing portal. Cancellation takes effect at the conclusion of your current billing period, and you will retain access to your plan features until that date. Except where required by applicable consumer law or explicitly stated in writing, subscription fees and metered merge charges are non-refundable.

8. User Content and Intellectual Property

8.1 Customer Ownership

You retain 100% ownership of and all intellectual property rights in the templates, designs, branding, images, and data payloads you upload or create on ComposeIt ("Customer Content").

8.2 Limited Processing License

You grant ComposeIt a limited, worldwide, non-exclusive, royalty-free license solely to access, process, host temporarily, and render your Customer Content to the extent strictly necessary to provide, maintain, and execute the document generation services requested by you. We do not sell, rent, or publicly display your Customer Content.

8.3 ComposeIt Intellectual Property

ComposeIt and its licensors retain all right, title, and interest in and to the Services, including all software, algorithms, UI designs, editor canvases, APIs, logos, trademarks, and documentation. Nothing in these Terms grants you any right, title, or interest in ComposeIt's proprietary intellectual property.

9. AI-Assisted Template Generation

When using ComposeIt's AI template generation features, your plain-text prompts and structural requirements are processed via third-party artificial intelligence foundation model providers (such as Google Gemini). You agree that:

• You are responsible for reviewing and validating the layout, code syntax, and logic produced by AI-assisted tools prior to deploying templates into production environments.
• In accordance with our provider agreements, your proprietary customer payloads and live database records are never used to train public foundation models.

10. Data Protection & Privacy

Our handling of personal information is governed by our Privacy Policy. For business customers processing personal data subject to the General Data Protection Regulation (GDPR) or UK GDPR, ComposeIt acts as a Data Processor and offers a comprehensive Data Processing Addendum (DPA) incorporating Standard Contractual Clauses upon request to privacy@composeit.app.

11. Suspension and Termination

You may terminate your account at any time by closing your account via your settings dashboard. ComposeIt reserves the right to suspend or terminate your access to the Services upon notice if you breach these Terms, engage in unlawful or abusive conduct, or fail to pay applicable subscription fees. In cases of critical security threats or blatant illegality, suspension may be immediate. Upon account termination, your stored templates and credentials will be permanently scheduled for deletion in accordance with our retention policy.

12. Disclaimers and Limitations of Liability

12.1 No Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ComposeIt does not warrant that the Services will be uninterrupted, error-free, or entirely secure.

12.2 Limitation of Consequential Damages

To the maximum extent permitted by applicable law, in no event shall ComposeIt, its directors, employees, or partners be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages, or for any loss of profits, business opportunities, data, or goodwill, arising out of or in connection with your use of the Services.

12.3 Aggregate Liability Cap

In no event shall ComposeIt's total aggregate liability arising out of or related to these Terms or the Services, under any legal or equitable theory (whether in contract, tort, strict liability, or otherwise), exceed the total amounts actually paid by you to ComposeIt in the twelve (12) months preceding the incident giving rise to the claim, or $100.00 USD, whichever is greater.

13. Assignment and Business Transfers

You may not assign or transfer these Terms or your rights hereunder without ComposeIt's prior written consent. ComposeIt may freely assign or transfer these Terms, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

14. Governing Law and Jurisdiction

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of Zimbabwe, without regard to its conflict of law principles. The parties agree that any legal action or proceeding shall be brought exclusively in the courts of competent jurisdiction located in Zimbabwe, and each party consents to the personal jurisdiction and venue thereof.

15. General Provisions

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. ComposeIt's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
